Provider Agreement

This Provider Agreement ("Agreement") governs the relationship between DHR SPACE (DHealthRides) ("we", "us", "our") and any laboratory, hospital, diagnostic centre, or blood bank that registers to list tests, sample collection, or blood bank services on the DHR SPACE platform ("Provider", "you"). By submitting a registration, you agree to this Agreement in addition to our Terms of Service and Privacy Policy.

1. Eligibility & Verification

To be listed, you must hold a valid business registration (e.g. with the Corporate Affairs Commission) and any applicable health-sector licensing or accreditation for the services you offer, for example registration with the Medical Laboratory Science Council of Nigeria (MLSCN), NAFDAC where relevant, or ISO 15189 accreditation where claimed. DHR SPACE reviews submitted documentation before approving a listing and may request additional information at any time.

2. Onboarding & Approval

Registration submissions, including test categories, test types, and pricing, are reviewed by DHR SPACE before becoming visible to Consumers. We may approve, reject, or request changes to any submission at our discretion, including where information appears inaccurate, incomplete, or non-compliant with applicable regulation.

3. Provider Responsibilities

  • Provide accurate, up-to-date descriptions, specimen requirements, turnaround times, and pricing for every listed test or service;
  • Handle samples, results, and blood products in accordance with applicable clinical and safety standards;
  • Honour the price and turnaround time confirmed at the time an Order is placed;
  • Keep Order status (pending, processing, completed) updated promptly so Consumers and DHR SPACE have accurate visibility;
  • Maintain the licenses and accreditations required for the services you list, and notify DHR SPACE promptly if any lapse, are suspended, or are revoked.

4. Fees & Settlement

DHR SPACE's service fee or commission structure, and the schedule for settling payments owed to you, will be communicated to you during onboarding and may be updated from time to time with reasonable notice. Payments to Providers are made against successfully completed and confirmed Orders.

5. Data Protection

Any patient or Consumer data you access through the Platform (including test results and contact details) may only be used to fulfil the specific Order it relates to. You must handle this data in accordance with the Nigeria Data Protection Act (NDPA) 2023, keep it confidential, and must not use it for independent marketing or any purpose outside servicing the Order.

6. Quality & Compliance

DHR SPACE may review Provider performance, including turnaround times, accuracy of listings, and Consumer feedback, and may audit compliance with this Agreement. Repeated quality issues, regulatory non-compliance, or expired licensing may result in suspension or removal of your listing.

7. Platform Conduct

You agree not to use contact details obtained through an Order to solicit the Consumer directly for future Orders in a way that circumvents the Platform. This does not restrict your ability to serve a Consumer who independently visits your facility outside the Platform.

8. Suspension & Termination

DHR SPACE may suspend or terminate a Provider listing for breach of this Agreement, expired or revoked licensing, fraud, repeated quality complaints, or at our reasonable discretion with notice where practicable. You may request removal of your listing at any time by contacting us.

9. Liability

You remain solely responsible for the clinical accuracy of tests and results you provide. DHR SPACE's role is limited to listing, booking, and logistics coordination, and DHR SPACE is not liable for clinical errors, misdiagnosis, or outcomes arising from services you perform.

10. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the Federal Republic of Nigeria. Disputes shall first be addressed through good-faith negotiation and, if unresolved, submitted to the exclusive jurisdiction of the courts of Nigeria.

11. Changes to This Agreement

We may update this Agreement from time to time, with the revised version posted here and the "Last updated" date changed accordingly. Continued listing on the Platform after changes take effect constitutes acceptance of the revised Agreement.
